1. Agreement to Terms

By accessing or using ScholaPharma's website, courses, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services. These Terms apply to all visitors, users, and others who access or use the Services.

ScholaPharma reserves the right to modify these Terms at any time. We will notify users of material changes via email or through prominent notice on our website. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

2. Services Description

ScholaPharma provides online educational courses, learning paths, and related materials focused on commercial pharmaceutical enablement. Our Services include access to video content, downloadable templates, workbooks, capstone projects, and certificates of completion. All course content is delivered through our learning management system and is accessible via web browsers on desktop and mobile devices.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We may also impose limits on certain features or restrict access to parts or all of the Services without notice or liability.

3. Account Registration and Security

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account password and for all activities that occur under your account.

You must immediately notify ScholaPharma of any unauthorized use of your account or any other breach of security. ScholaPharma will not be liable for any loss or damage arising from your failure to comply with these security obligations. You may not share your account credentials with others or allow others to access your account.

4. Purchase Terms and Pricing

All prices are displayed in U.S. Dollars (USD) and Indian Rupees (INR) and are subject to change without notice. When you purchase a course or learning path, you agree to pay all applicable fees and charges, including any applicable taxes. Payment is processed securely through our payment processor, Stripe. By providing payment information, you represent and warrant that you are authorized to use the payment method provided.

Individual courses and learning paths are sold as one-time purchases with lifetime access to the content. "Lifetime access" means access for as long as ScholaPharma continues to offer the Services, subject to these Terms. We reserve the right to modify pricing at any time, but price changes will not affect purchases already completed.

5. Refund Policy

7-Day Money-Back Guarantee

We offer a 7-day money-back guarantee on all course and learning path purchases. If you are not satisfied with your purchase for any reason, you may request a full refund within 7 days of the purchase date. Refund requests must be submitted via email to [email protected] with your order number and reason for the refund request.

To be eligible for a refund, you must request it within 7 calendar days from the date of purchase. Refunds will be processed within 5-10 business days to the original payment method. Once the 7-day period has expired, no refunds will be issued under any circumstances.

We reserve the right to deny refund requests if we detect abuse of this policy, including but not limited to: downloading all course materials and then requesting a refund, making multiple purchases and refund requests, or any other behavior that suggests fraudulent intent.

6. Course Access and Enrollment

Upon successful purchase, you will receive immediate access to your enrolled course(s) or learning path. Access is granted on a non-transferable, non-exclusive basis for your personal use only. You may not share your login credentials or course access with others.

"Lifetime access" means you will have access to the course content for as long as ScholaPharma continues to operate and offer the Services. We reserve the right to update, modify, or remove course content at our discretion. While we strive to maintain and improve course content over time, we do not guarantee that specific content will remain available indefinitely.

If you purchase a learning path and already own one or more individual courses included in that path, we will credit you the full value of the courses you already own. To claim this credit, contact [email protected] within 30 days of your path purchase with proof of prior course ownership.

7. Intellectual Property Rights

All content included in the Services, including but not limited to text, graphics, logos, videos, audio clips, digital downloads, data compilations, templates, and software, is the property of ScholaPharma or its content suppliers and is protected by United States and international copyright laws. The compilation of all content on the Services is the exclusive property of ScholaPharma.

You are granted a limited, non-exclusive, non-transferable license to access and use the course materials solely for your personal, non-commercial educational purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:

  • You may download course materials (videos, PDFs, templates) for your personal offline use.
  • You may use templates provided in courses for your professional work, but you may not redistribute or resell the templates themselves.
  • You may share screenshots or brief excerpts of course content for educational purposes with proper attribution to ScholaPharma.

Any unauthorized use of the course materials may violate copyright, trademark, and other laws. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information of ScholaPharma without express written consent.

8. User Conduct and Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Copying, distributing, or disclosing any part of the Services in any medium, including without limitation by any automated or non-automated "scraping"
  • Using any automated system, including "robots," "spiders," or "offline readers," to access the Services
  • Transmitting spam, chain letters, or other unsolicited email
  • Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Services
  • Taking any action that imposes an unreasonable or disproportionately large load on our infrastructure
  • Uploading invalid data, viruses, worms, or other software agents through the Services
  • Impersonating another person or otherwise misrepresenting your affiliation with a person or entity
  • Selling or otherwise transferring your account or course access
  • Using the Services for any illegal or unauthorized purpose
  • Sharing course content publicly or with unauthorized third parties

We reserve the right to terminate your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

9. Certificates and Credentials

Upon successful completion of a course or learning path, you may receive a certificate of completion. These certificates are provided for educational purposes and to demonstrate your commitment to professional development. They do not constitute professional certification, licensure, or accreditation.

Certificates are issued in your name as provided during account registration. We reserve the right to revoke certificates if we determine that they were obtained fraudulently or in violation of these Terms. You may share your certificates on professional networking sites like LinkedIn, but you may not alter, modify, or misrepresent the certificates in any way.

10. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

ScholaPharma does not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components. ScholaPharma does not guarantee any specific results from the use of the Services.

The course content is for educational purposes only and should not be considered professional advice. You should consult with appropriate professionals before implementing any strategies or decisions based on course content. ScholaPharma is not responsible for any decisions you make based on the information provided in the courses.

IN NO EVENT SHALL SCHOLAPHARMA, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO SCHOLAPHARMA IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

11. Indemnification

You agree to defend, indemnify, and hold harmless ScholaPharma and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: (a) your use and access of the Services; (b) your violation of any term of these Terms; (c) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your use of the Services caused damage to a third party.

12. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by binding arbitration in Delaware, using the English language in accordance with the Arbitration Rules and Procedures of the American Arbitration Association ("AAA"). The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

To the fullest extent permitted by applicable law, no arbitration or claim under these Terms shall be joined to any other arbitration or claim, including any arbitration or claim involving any other current or former user of the Services, and no class arbitration proceedings shall be permitted.

13. Privacy and Data Protection

You acknowledge and agree that ScholaPharma shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We use Stripe for payment processing and Thinkific as our learning management system platform. Your use of these services is subject to their respective terms of service and privacy policies.

15. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

No waiver by ScholaPharma of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of ScholaPharma to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by ScholaPharma on the Services, constitute the entire agreement between you and ScholaPharma concerning the Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and ScholaPharma.
